Perconex Case Studies – AN EXCERPT

Companies

FROM PROJECT WORK TO DIRECT HIRE AS AN IN-HOUSE LAWYER

Location: Frankfurt am Main
Client: Financial services provider
Assignment: A project lawyer (m/f/d) in the field of capital market and commercial law
Duration: At least 6 months
Client’s motivation: The four-person Legal & Compliance Team needed support to bridge the gap until a direct hire could be made.

Responsibilities:

  • Preparing and negotiating customer contracts
  • Comprehensive legal advice on capital market transactions, in particular M&A transactions, IPOs as well as equity capital measures, debt financing and restructuring
  • Reviewing and negotiating confidentiality obligations and mandate agreements

Qualifications: For the in-house position the client required candidates with professional experience who had achieved the grade of “satisfactory” on one of their state exams to become fully qualified lawyers (m/f/d) or individuals who were qualified as commercial lawyers (m/f/d). Fluent business English was another important criterion.

Staffing period: After receiving the request, three candidate profiles were sent to the client. One candidate was a self-employed lawyer who was looking for a new professional challenge. She won the client over and started on the job one month later.

HIGH POTENTIAL IN PHARMACEUTICAL LAW

Location: Greater Frankfurt am Main
Client: International healthcare company
Assignment: Project lawyer in the field of pharmaceutical and contract law (m/f/d)
Duration: Approx. 3 months
Client’s motivation: Expert support for a five-person team in the form of parental leave replacement

Responsibilities:

  • Drafting and negotiating contracts, taking into account the respective economic background and examining the associated legal issues
  • Processing service, purchase, contract manufacturing and distribution contracts
  • Preparing confidentiality declarations

Qualifications: The company was looking for a fully qualified lawyer with several years of professional experience in the relevant areas of law. The company also required legal English skills, as the company operates internationally.

Staffing period: Within the first week of accepting the commission, PERCONEX presented the client with a candidate who had more than ten years of professional experience. The client was highly impressed with her profile. Following a virtual interview, the employment contract was concluded. Our project lawyer was able to start as the parental leave replacement within a very short period of time.

POST-CLOSING ACTION

Location: Rhine-Main area
Client: Financial services industry
Assignment: One project lawyer in the field of corporate law, general civil law
Duration: At least 6 months
Client’s motivation: Increased workload due to the integration of a company as well as bridging the gap until a direct hire could be made.

Responsibilities:

  • Legal support during integration of the acquired company
  • Ensuring conclusion of a purchase agreement
  • Support for general day-to-day business

Qualifications: Fully qualified lawyer with experience in the field of corporate law and general civil law, fluent business English, MS Office skills; more than two years of professional experience

Staffing period: Four candidates were presented within nine days and one candidate after a further 10 days. Positive feedback was received on two candidates, both of whom interviewed well. As a result, a project lawyer was selected to fill the position within four weeks of the client’s request.

 

GERMANY-AUSTRIA-SWITZERLAND COMPLIANCE

Location: Frankfurt am Main
Client: Global asset manager
Assignment: One project lawyer in the field of compliance
Duration: Approx. 4-6 months
Client’s motivation: Increased workload due to review and expansion of compliance guidelines and functions

Responsibilities:

  • Providing advisory services on compliance issues to companies in Germany, Austria and Switzerland
  • Policy review/monitoring and implementing detailed audits of marketing activities and materials

Qualifications: Fully qualified lawyer with experience working with the laws: KAGB, AIFMD, WPHG, AktG; fluent business English and MS Office skills; pragmatic approach to work; ideally 2-4 years of professional experience

Staffing period: Two candidates were presented within eight days of receiving the request. Positive feedback was received on one candidate, who then went on to have a successful interview. Only three weeks passed from receiving the request until the position was filled.

HIGH-LEVEL FINANCIAL ADVISORY

Location: Frankfurt am Main
Client: Company/advisory services in the field of finance
Assignment: One project lawyer in the field of M&A and capital market law
Duration: Approx. 4 months
Client’s motivation: Support and relief of senior associates by project lawyers with a hands-on mentality.

Responsibilities:

  • Processing NDAs and letters of engagement
  • Reviewing consultancy contracts
  • Cooperating with international partners

Qualifications: Fully qualified lawyer with experience in M&A, capital market law and general civil law; fluent business English, MS Office skills; pragmatic approach to work

Staffing period: Within six days, two candidates were presented, both of whom interviewed with the client; positive feedback was given for one candidate, who then began her assignment three weeks after the interview.

Law firms

LITIGATION ARBITRATION IN SOUTH GERMANY

Location: After one week of on-site training, work is carried out on a remote basis
Client: Law firm specialising in litigation
Assignment: Seven project lawyers (m/f/d) for the areas of civil law, procedural law and litigation
Duration: Initially 9 months with the option of extension and permanent employment

Client’s motivation: Our client decided to take on external staff in order to manage a large case. Thanks to the client's state-of-the-art software solutions, the work could be carried out in home office after a brief period of on-site training.

Responsibilities:

  • Processing civil proceedings within the scope of a large litigation case
  • Preparing statements of claim and court pleadings
  • Systematic organising of asserted claims
  • Involvement in client communication

Qualifications: The candidate should be a fully qualified lawyer (m/f/d) with (ideally) one satisfactory level examination and initial experience in civil, commercial and tort law.

Staffing period: The client was interested in getting the process wrapped up quickly and conducted a swift selection process. Ten appropriate candidate profiles were sent, and seven were selected to fill the positions.

 

ON TREND: REAL ESTATE LAW

Location: Hamburg
Client: Law firm (boutique real estate law)
Assignment: One project lawyer (m/f/d)
Duration: Approx. 3 months

Client’s motivation: Increased workload due to the ongoing impact of the coronavirus pandemic on the legal relationship between landlords and tenants. As a result, our client had to grow their team at short notice. Transfer to permanent employment after the project is a possibility.

Responsibilities:

  • Processing rental evaluations
  • Reviewing land register entries and rental agreements
  • Providing support in real estate transactions (due diligence)
  • Partial responsibility for contract negotiations

Qualifications: The candidate should have two completed state examinations and initial professional experience in the field of real estate law as well as fluent business German and English.

Staffing period: For this project, PERCONEX provided the client with two candidate profiles. One candidate was invited to interview and subsequently hired in mid-October. The project duration, from the client’s initial request to the job offer, took just over two weeks.

LITIGATION CASE EFFICIENCY

Location: Düsseldorf

Client: Large law firm

Assignment: Approx. 8-10 project lawyers

Duration: 9-12 months

Client’s motivation: Bring in project lawyers at the associate level to enable better use of the current team’s skill set; project-related additional work.

Responsibilities:
Processing pleadings and defence work, internal file management system

Qualifications: Fully qualified lawyer; experience in civil law and procedural law; ideally at least 14 points on exams in total; fluent German

Staffing period: Within one week, six candidates were introduced to the client via interviews coordinated at short notice. Of the six candidates, five lawyers started on the project four weeks after the request was obtained. Five additional candidates were presented, four of whom were placed on assignment.

TRANSACTION AFTER TRANSACTION

Location: Düsseldorf

Client: Business law firm

Assignment: Project lawyer in the field of M&A/due diligence

Duration: At least 2 months

Client’s motivation: As a result of a full M&A deal pipeline, the associate team needed to be expanded and supported by project lawyers. In addition, the firm was looking to permanently hire suitable candidates after the project was completed.

Responsibilities:

  • Transaction support
  • Support and cooperation for due diligence work

Qualifications: Fully qualified lawyer with experience in corporate law/M&A or contract law; ideally 1-5 years of professional experience; two satisfactory state examinations; fluent business English

Staffing period: Within one week four candidates were presented and positive feedback was received on three candidates. The position was filled within two weeks of the client’s request.

ANTITRUST PROCEEDINGS AND PARENTAL LEAVE –
HOW IS THAT GOING TO WORK?

Location: North Rhine-Westphalia

Client: Major international law firm

Assignment: Two project lawyers in the field of antitrust law

Duration: Approx. 6 months

Client’s motivation: Due to increased demand in the area of merger control and the need for an upcoming parental leave replacement, the department was seeking to hire additional staff on a project basis.

Responsibilities:

  • Merger control
  • Participation in national and international antitrust proceedings
  • Research and evaluation of data and documents
  • Participation in pleadings

Qualifications: Fully qualified lawyer with 1-2 years of experience in antitrust law; fluent business English; MS Office skills; ideally two satisfactory law examinations

Staffing period: In a tight applicant market, three candidates who had totals of 14 points in both state exams were identified and presented within eight days of the client’s request. The law firm was quick to offer feedback, so that two interviews could be coordinated within a further week. Both candidates had successful interviews and are now employed as project lawyers at the law firm.
